  1. EUDORA(R) VERSION 5.2.1 SOFTWARE LICENSE AGREEMENT

  3.  
  4. QUALCOMM INCORPORATED(R) ("QUALCOMM") IS WILLING TO LICENSE 
  5. ITS EUDORA VERSION 5.2.1 SOFTWARE INCLUDING ACCOMPANYING PUREVOICE(TM)
  6. PLAYER-RECORDER AND PUREVOICE(TM) PLUG-IN (THE "SOFTWARE") AND THE
  7. ACCOMPANYING DOCUMENTATION TO YOU ONLY ON THE CONDITION THAT YOU ACCEPT
  8. AND AGREE TO ALL OF THE TERMS IN THIS AGREEMENT.  BY CLICKING ON THE 
  9. "AGREE" BUTTON BELOW YOU 
  10. ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND 
  11. IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.  IF 
  12. YOU DO NOT AGREE TO THESE TERMS, QUALCOMM IS UNWILLING TO 
  13. AND DOES NOT LICENSE THE SOFTWARE TO YOU.  IF YOU DO NOT 
  14. AGREE TO THESE TERMS YOU MUST CLICK ON THE "NO" BUTTON AND 
  15. DISCONTINUE THE INSTALLATION PROCESS.  ANY USE OF THE 
  16. SOFTWARE BY YOU IS SUBJECT TO THE TERMS AND CONDITIONS SET 
  17. FORTH HEREIN.
  18.  
  19. 1. LICENSE.  Subject to the terms and conditions of this 
  20. License Agreement, QUALCOMM hereby grants you a 
  21. nonexclusive license to install and use the Software in 
  22. machine-readable form on a single personal computer, provided that if 
  23. you are an individual, on one or more personal computers 
  24. in your household or home office owned or controlled by 
  25. you for use by yourself and immediate family members 
  26. residing in the same household only.  You may copy the 
  27. Software only for backup purposes, provided that you 
  28. reproduce all copyright and other proprietary notices that 
  29. are on the original copy of the Software.
  30.  
  31. 2. RESTRICTIONS.  QUALCOMM retains all right, title, and 
  32. interest in and to the Software, and any rights not 
  33. expressly granted to you herein are reserved by QUALCOMM.  
  34. You may not reverse engineer, disassemble, decompile, or 
  35. translate the Software, or otherwise attempt to derive the 
  36. source code of the Software, except to the extent (if at 
  37. all) expressly permitted under any applicable law.  If 
  38. applicable law expressly permits such activities, any 
  39. information so discovered or derived shall be deemed to be 
  40. the confidential proprietary information of QUALCOMM and 
  41. must be promptly disclosed by you to QUALCOMM.  Any 
  42. attempt to transfer any of the rights, duties or 
  43. obligations hereunder is void.  You may not rent, lease or 
  44. loan the Software.  You may not reproduce (except as 
  45. expressly permitted under Section 1), distribute, publicly 
  46. perform, publicly display, modify or create derivative 
  47. works of or based on the Software.

  49. 3.  TECHNICAL SUPPORT. Limited technical support (via telephone
  50. or email response) may be available for a limited period of time
  51. if you use the Software in paid mode. Information 
  52. regarding availability, nature and conditions of limited technical
  53. support may be found at www.eudora.com.

  55.  
  56. 4.  NO WARRANTY.  YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT 
  57. THE USE OF THE SOFTWARE IS AT YOUR SOLE RISK.  THE 
  58. SOFTWARE (AND TECHNICAL SUPPORT, IF ANY) IS PROVIDED "AS 
  59. IS" AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR 
  60. IMPLIED.  TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE 
  61. LAWS, QUALCOMM AND ANY APPLICABLE LICENSORS (FOR THE 
  62. PURPOSES OF SECTIONS 4, 5 AND 6, QUALCOMM AND QUALCOMM'S 
  63. LICENSOR(S) SHALL BE COLLECTIVELY REFERRED TO AS QUALCOMM) 
  64. EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, 
  65. INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF 
  66. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND 
  67. NONINFRINGEMENT.  QUALCOMM DOES NOT WARRANT THAT THE 
  68. FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR 
  69. REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL 
  70. BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE 
  71. SOFTWARE WILL BE CORRECTED.  FURTHERMORE, QUALCOMM DOES 
  72. NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE 
  73. OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS 
  74. CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.  NO ORAL 
  75. OR WRITTEN INFORMATION OR ADVICE GIVEN BY QUALCOMM OR ITS 
  76. AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY OR IN 
  77. ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.  SOME 
  78. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED 
  79. WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY OR MAY BE 
  80. LIMITED. 
  81.  
  82. 5.  LIMITATION OF LIABILITY.  TO THE MAXIMUM EXTENT PERMITTED
  83. UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE,
  84. SHALL QUALCOMM, ITS AFFILIATES OR THEIR DIRECTORS, OFFICERS,
  85. EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
  86. SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT
  87. LIMITED TO DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
  88. INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE)
  89. ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE,
  90. EVEN IF QUALCOMM OR ITS AUTHORIZED REPRESENTATIVE HAS BEEN
  91. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  SOME JURISDICTIONS
  92. DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL
  93. OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION
  94. MAY NOT APPLY.  IN NO EVENT SHALL QUALCOMM'S TOTAL LIABILITY
  95. TO YOU FOR ANY AND ALL DAMAGES, LOSSES, CLAIMS AND CAUSES OF
  96. ACTIONS (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR
  97. OTHERWISE) EXCEED THE GREATER OF THE AMOUNT PAID BY YOU FOR
  98. THE SOFTWARE OR $10. 
  99.  
  100. 6. INDEMNITY. You agree to defend and indemnify QUALCOMM 
  101. against all any and all claims, losses, liabilities, 
  102. damages, costs and expenses, including attorney's fees, 
  103. which QUALCOMM may incur as a result of or in connection 
  104. with your breach of this Agreement.
  105.  
  106. 7.  TERM AND TERMINATION.  This Agreement shall continue 
  107. until terminated.  You may terminate the Agreement at any 
  108. time by deleting all copies of the Software and all 
  109. related information.  This Agreement terminates 
  110. immediately and automatically, with or without notice, if 
  111. you fail to comply with any provision hereof.  
  112. Additionally, QUALCOMM may at any time terminate this 
  113. Agreement, without cause, upon notice to you.  Upon 
  114. termination you must delete or destroy all copies of the 
  115. Software in your possession.  Sections 2, 4 through 6, 8 and 
  116. 11 survive termination.
  117.  
  118. 8.  EXPORT.  The Software contains strong encryption that 
  119. is subject to the laws and regulations of the US 
  120. Government.  Licensee agrees and certifies that neither 
  121. the Software nor any other technical data received from 
  122. QUALCOMM, nor the direct product thereof, will be 
  123. exported, re-exported, or transferred except as authorized 
  124. and as permitted by the laws and regulations of the United 
  125. States Government.  Prohibited exports include but are not 
  126. limited to; the export, re-export, or transfer of the 
  127. Software or technical data to any prohibited entities or 
  128. destinations subject to the US Government's current list 
  129. of restricted or embargoed countries, any parties 
  130. currently listed on the US Government's Denied Parties or 
  131. Specially Designated National list, and any proliferation 
  132. activities prohibited by the US Government such as 
  133. chemical, biological, nuclear or missile technology.  
  134.  
  135. 9.  GOVERNMENT END USERS.  If you are or are acting on 
  136. behalf of an agency or instrumentality of the United 
  137. States Government, the Software, as applicable, is 
  138. "commercial computer software" and "commercial computer 
  139. software documentation" and pursuant to FAR 12.212 or 
  140. DFARS 227 7202 and their successors, as applicable, use, 
  141. reproduction and disclosure of the Software is governed by 
  142. the terms of this Agreement.
  143.  
  144. 10.  CONTRACTING PARTIES.  If the Software is installed on 
  145. any computer owned by a corporation or other legal entity, 
  146. then this Agreement is formed by and between QUALCOMM and 
  147. such entity.  The individual executing this Agreement 
  148. represents and warrants to QUALCOMM that they have the 
  149. authority to bind such entity to the terms and conditions 
  150. of this Agreement.

  152. 11. GENERAL.  This Agreement is governed and interpreted 
  153. in accordance with the laws of the State of California 
  154. without giving effect to its conflict of laws provisions.  
  155. The United Nations Convention on Contracts for the 
  156. International Sale of Goods is expressly disclaimed and 
  157. shall not apply.  Any claim arising out of or related to 
  158. this Agreement must be brought exclusively in a federal or 
  159. state court located in San Diego County, California and 
  160. you consent to the jurisdiction of such courts.  If any 
  161. provision of this Agreement shall be invalid, the validity 
  162. of the remaining provisions of this Agreement shall not be 
  163. affected.  This Agreement is the entire and exclusive 
  164. agreement between QUALCOMM and you with respect to the 
  165. Software and supersedes all prior agreements (whether 
  166. written or oral) and other communications between QUALCOMM 
  167. and you with respect to the Software.
